Overview

This Corporate Governance Guide provides structure to the Board of Management and accountability regarding the club objectives. It includes a code of conduct for Directors to adhere to in their duties.

The document is structured into four sections:

    • Governance Roles.
    • Board Processes.
    • Key Board Functions.
    • Continuing Improvement.

In simple terms the Guide specifies how the MGGC Board and its Directors must perform their duties and the inter-relationships they have with fellow Board members, the General Manager, the club’s Committees, and the club in general. All content links closely to the club’s Constitution and By-laws.

A copy of the Board Governance Guide is provided to all Directors as part of their induction process.

The original version of the Guide was initiated in 2013 by then Vice President Gary Allomes. It was first agreed for implementation by the Board in October 2013. This version (1.5) and earlier versions were produced by Mark Bonser in his various roles on the MGGC Board. Historical versions of the document have not been pursued but future ones will be obtained.

A motion for the Guide to be included in the club’s Constitution was proposed but not passed at the 2026 Annual General Meeting.
